One of my Palo Alto, CA based law firm is seeking a highly skilled Corporate Paralegal with experience in securities. This role supports attorneys in corporate transactions, including IPOs, mergers and acquisitions, re-incorporations, stock option plans, and venture capital financings. The position offers the opportunity to work with a diverse range of clients, including technology startups, emerging growth companies, and public firms.
Assist attorneys in incorporating high-tech companies and managing corporate governance documents.
Understanding of transaction types and securities law requirements
Proficiency in Excel, including complex sorting/filtering of data, formulas and functions, pivot tables, analysis, and modeling
Prepare, proofread, and file legal documents related to corporate transactions.
Utilize cap table management software such as eProsper and Carta to manage stock options, stock splits, and other equity transactions.
Support attorneys in IPO transactions from start to finish, ensuring compliance with all regulatory requirements.
Manage and organize electronic and hard copy files for corporate transactions.
Handle confidential information with discretion and professionalism.
Provide general administrative support, including scheduling meetings, maintaining calendars, and managing correspondence.
3 to 6 years of experience as a corporate legal secretary or paralegal, preferably in securities and technology law.
Experience supporting attorneys with IPOs, mergers and acquisitions, venture capital financings, and corporate governance matters.
Strong understanding of corporate transactions, stock option plans, and equity management.
Proficiency in cap table management software (e.g., eProsper, Carta) and legal document management tools.
Excellent organizational and time management skills with strong attention to detail.
Strong written and verbal communication skills.
High level of integrity, critical thinking ability, and ability to work in a fast-paced environment.
Proficiency in Microsoft Office Suite (Word, Excel, Outlook) and document management software (e.g., DocuSign).
Flexibility to work overtime as needed.
BA/BS degree or equivalent experience required.
